Terms of Service
1. Acceptance of these Terms
These Terms of Service ("Terms") form a binding agreement between you and Pixlr Pte. Ltd. ("Pixlr", "we", "us", "our"), the operator of the OverHeard service ("OverHeard" or the "Service"). Pixlr is a company registered in Singapore with its registered address at 36 Robinson Road, #20-01 City House, Singapore 068877.
By creating an account, accessing, or using the Service in any way, you agree to be bound by these Terms and by our Privacy Policy, Cookie Policy, and Refund Policy, which are incorporated by reference. If you do not agree to these Terms, you must not use the Service. If you are using the Service on behalf of a business or other organisation, you represent that you have authority to bind that entity, and "you" refers to that entity.
2. The Service
OverHeard is a demand-intelligence web application. When you enter a business or topic, OverHeard harvests the real questions a market is asking from public search-suggest and autocomplete sources (Google, Bing, DuckDuckGo) and public community discussions (Reddit, accessed via Reddit's API). It de-duplicates and classifies those questions by search intent and buyer-journey stage, scores a 0–100 "demand heat" signal, and produces a content plan.
The Service is a research and ideation tool provided on an "as is" basis. Its outputs — including harvested questions, classifications, demand-heat scores, keyword volume and difficulty figures, and AI-generated content drafts — are research starting points only. Where keyword search-volume and difficulty data from DataForSEO is unavailable, volume and difficulty figures are clearly labelled estimates, and the "demand heat" score is a signal-based indicator. We do not guarantee any particular search traffic, rankings, conversions, revenue, or other business outcome from your use of the Service.
3. Eligibility & Accounts
You must be at least 18 years old, or the age of majority in your jurisdiction, and capable of forming a binding contract, to use the Service. You may not use the Service if you are barred from doing so under applicable law.
Accounts are passwordless. You sign in using an email address; we email you a six-digit code or a magic link to authenticate you. There are no passwords. You are responsible for maintaining control of the email address associated with your account and for all activity that occurs under your account. You must keep your email account secure and notify us promptly at info@pixlr.com if you believe your account or email has been compromised. We are not liable for any loss arising from unauthorised access to your email account.
4. Plans, Subscriptions & Billing
OverHeard offers the following plans:

Paid plans are auto-renewing subscriptions billed in advance. Unless you cancel, your subscription renews automatically at the end of each billing period at the then-current price, and you authorise us to charge your payment method for each renewal.
Billing is handled by Stripe. Your card and payment details are collected and processed solely by Stripe and are never stored on OverHeard's servers. We store only your plan, your Stripe customer ID, and your subscription status. Your use of Stripe is also subject to Stripe's own terms.
All prices are stated in US dollars and are exclusive of taxes unless otherwise stated. You are responsible for any sales, use, value-added, goods-and-services, withholding, or similar taxes applicable to your purchase, except for taxes based on our net income. We may change plan prices or features; we will give reasonable advance notice of price changes, which will take effect from your next renewal.
5. Cancellation & Refunds
You may cancel a paid subscription at any time via My account → Manage billing. When you cancel, your subscription will not renew, and your paid access will continue until the end of the period you have already paid for; it will not be extended or pro-rated.
Except where required by applicable law, payments are non-refundable and we do not provide refunds or credits for partial billing periods or unused features. Any refunds we do choose to provide, and any rights you may have under mandatory consumer law, are described in our Refund Policy.
6. Acceptable Use
You agree not to, and not to permit anyone else to:
- scrape, copy, frame, mirror, resell, sublicense, or otherwise commercially exploit the Service itself or make it available to third parties as a competing or substitute service;
- access the Service through automated means, circumvent rate limits or usage quotas, or otherwise place an unreasonable load on our infrastructure;
- use the Service for any unlawful, fraudulent, infringing, deceptive, or harmful purpose, or in violation of any applicable law or regulation;
- enter the personal data of any other individual, or any confidential information you are not authorised to disclose, into the Service (see also Section 12 on AI processing);
- attempt to reverse-engineer, decompile, probe, or gain unauthorised access to the Service or its underlying systems, or to defeat any security or authentication mechanism;
- use the Service in a manner that breaches the terms of the public data sources it relies on (including Google, Bing, DuckDuckGo, and Reddit) or that infringes the intellectual-property or other rights of any third party.
We may enforce usage limits, including a free-tier quota that, for anonymous visitors, is administered using a rate-limit key derived from IP address.
7. Your Input & Generated Content
As between you and us, you retain ownership of the topics, business descriptions, and search phrases you enter into the Service ("Input"). You grant us a non-exclusive, worldwide licence to process your Input — including transmitting it to the third-party processors described in Section 8 — solely to operate and provide the Service to you.
Subject to your compliance with these Terms, we grant you the right to use the questions, classifications, content plans, AI-generated drafts, and exports produced for you ("Output") for your own business and marketing purposes. The harvested questions originate from public sources and are not exclusive to you; other users may receive the same or similar questions.
AI-generated drafts are starting points, not finished work. They may be inaccurate, incomplete, or unsuitable for your purpose. You are responsible for reviewing, editing, fact-checking, and verifying that any Output you publish or rely on is accurate, lawful, and does not infringe the rights of others.
8. Third-Party Sources & Processors
The Service depends on data sourced from, and processed by, third parties. To provide features, we transmit certain data to the following sub-processors:

These providers operate independently, and we do not control and cannot guarantee their availability, accuracy, or continued access. If a source or processor changes, restricts, or withdraws access, the related features may be degraded or unavailable. Further detail on these processors is set out in our Privacy Policy. We do not sell personal data.
9. Public Share Pages
On paid plans, you can choose to Share a search result. When you do, OverHeard publishes a public, crawlable page (at a URL of the form /r/<slug>) that displays the search phrase and the harvested public questions for that search. No account details or personal data are shown on a share page.
By creating a share page you instruct us to make that content publicly accessible, where it may be viewed, linked, and indexed by search engines. You are responsible for ensuring that any search phrase you choose to share does not contain confidential or personal information. You can remove a share page through your account; once removed, third parties may still retain cached copies outside our control.
10. AI Services & Fair Use
AI-generated output is produced by automated systems and may be inaccurate, outdated, biased, or otherwise unreliable. It does not constitute professional, legal, financial, or marketing advice, and you must independently verify it before relying on it.
Important caveat: the search phrases you enter and the drafts generated are transmitted to AI and data providers — namely Anthropic and Voyage AI, and, on paid plans, DataForSEO. You should not enter personal, sensitive, or confidential information that you do not want processed by those providers.
AI features are subject to fair use. We may apply reasonable limits on the volume and frequency of AI generation and may throttle, suspend, or restrict access where usage is excessive, automated, or abusive, or where required by an upstream provider.
11. Intellectual Property
The Service, including its software, design, user interface, scoring and classification logic, text, graphics, and all related intellectual-property rights, is owned by Pixlr or its licensors and is protected by applicable laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you. "OverHeard", "Pixlr", and associated logos are marks of Pixlr; you may not use them without our prior written permission.
12. Disclaimers
To the maximum extent permitted by law, the Service and all Output are provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, that any data, metrics, or estimates will be accurate or complete, or that any business result will be achieved.
13. Limitation of Liability
To the maximum extent permitted by law, in no event will Pixlr, its affiliates, or their respective officers, employees, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business opportunity, arising out of or relating to the Service, even if advised of the possibility of such damages.
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total amounts you paid to us for the Service in the twelve (12) months immediately before the event giving rise to the liability, or (b) US$100. Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited.
14. Indemnity
You agree to indemnify, defend, and hold harmless Pixlr and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: your Input or Output; your use of the Service; your breach of these Terms or of any applicable law; your infringement of any third-party right; or content you publish through a share page.
15. Suspension & Termination
You may stop using the Service at any time and may cancel a paid subscription as described in Section 5. We may suspend or terminate your access to the Service, in whole or in part, with or without notice, if you breach these Terms, if your use poses a risk to the Service, other users, or our providers, or if required by law. Where reasonable and lawful, we will give you notice.
On termination, your right to use the Service ends. We may delete or retain your data in accordance with our Privacy Policy and applicable law. Sections that by their nature should survive termination — including Sections 7, 11, 12, 13, 14, and 16 — will survive.
16. Governing Law & Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with them, the Service, or their subject matter or formation (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of Singapore, without regard to its conflict-of-laws rules.
Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the Arbitration Rules of the Singapore International Arbitration Centre ("SIAC Rules") for the time being in force, which rules are deemed to be incorporated by reference in this clause. The seat of the arbitration shall be Singapore. The tribunal shall consist of one arbitrator. The language of the arbitration shall be English.
17. Changes to the Service and to these Terms
We may modify, suspend, or discontinue any part of the Service at any time. We may also update these Terms from time to time. When we make material changes, we will update the "Last updated" date shown on this page and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
